These Terms and Conditions ("Agreement") govern the use of services provided by Review Maxxed ("Company", "we", "our", or "us"). By engaging our services, the client ("Client", "you", or "your") agrees to be bound by these Terms and Conditions.
1. Services
The Company provides reputation management and related services, including but not limited to:
Review generation and collection
Customer feedback systems
SMS and email review request campaigns
Online reputation monitoring
Review response assistance
Google Business Profile optimization
Customer communication automation
The exact scope of services shall be agreed upon separately in writing or through an accepted proposal.
2. Client Responsibilities
The Client agrees to:
Provide accurate information necessary for service delivery.
Maintain ownership and authority over any business accounts connected to our services.
Ensure that all customer information shared with us has been collected lawfully.
Comply with all applicable laws and regulations.
The Client remains solely responsible for the legality and accuracy of customer data provided to the Company.
3. Customer Data and Compliance
The Client warrants that:
They have obtained any required consent from customers before sharing personal data with the Company.
The collection and use of customer data complies with all applicable privacy laws, including the Singapore Personal Data Protection Act (PDPA).
The Company may process customer data solely for the purpose of delivering agreed services.
The Company shall not be liable for any claims arising from the Client's unlawful collection or use of customer information.
4. No Guarantee of Reviews or Results
While our services are designed to improve customer feedback collection and online reputation, the Company does not guarantee:
A specific number of reviews
A specific review rating
Increased revenue or sales
Search engine ranking improvements
Customer participation rates
Results depend on numerous factors beyond the Company's control.
5. Prohibited Uses
The Client shall not use our services to:
Generate fake reviews
Incentivize reviews in violation of platform policies
Misrepresent customer experiences
Engage in fraudulent or deceptive practices
Violate any applicable laws or regulations
The Company reserves the right to suspend or terminate services if prohibited activities are detected.
6. Fees and Payment
Payment Terms
Fees are due according to the agreed proposal, invoice, or subscription plan.
All fees are stated in SGD unless otherwise specified.
Payments are non-refundable unless required by law.
Late Payments
The Company reserves the right to:
Suspend services
Restrict account access
Charge reasonable late payment fees where permitted by law
for overdue accounts.
7. Subscription Services
Where services are provided on a monthly subscription basis:
The subscription automatically renews unless cancelled.
Either party may terminate the subscription by providing written notice at least 30 days before the next billing cycle unless otherwise agreed.
8. Intellectual Property
All software, systems, templates, workflows, documentation, marketing materials, and proprietary processes developed or provided by the Company remain the intellectual property of the Company.
The Client receives a non-exclusive right to use deliverables solely for their business purposes during the service period.
9. Third-Party Platforms
Our services may integrate with third-party platforms, including:
Google
SMS providers
Email providers
CRM platforms
Review management platforms
The Company is not responsible for:
Platform outages
Account suspensions
Changes in platform policies
Service interruptions caused by third parties
The Client remains subject to the terms and policies of such third-party platforms.
10. Limitation of Liability
To the maximum extent permitted by law:
The Company's total liability arising out of or related to this Agreement shall not exceed the amount paid by the Client to the Company during the three (3) months preceding the event giving rise to the claim.
The Company shall not be liable for:
Loss of profits
Loss of business opportunities
Loss of goodwill
Indirect or consequential damages
Customer reviews or review content posted by third parties
11. Indemnification
The Client agrees to indemnify and hold harmless the Company, its directors, employees, and contractors from any claims, damages, losses, liabilities, or expenses arising from:
Customer data provided by the Client
Breach of these Terms
Violation of applicable laws
Misuse of the services
12. Confidentiality
Both parties agree to keep confidential all non-public business, customer, financial, and operational information disclosed during the course of the engagement.
This obligation survives termination of the Agreement.
13. Termination
The Company may terminate services immediately if:
The Client breaches these Terms.
The Client engages in fraudulent or unlawful conduct.
Continued provision of services would violate applicable laws or third-party policies.
Upon termination:
Outstanding fees remain payable.
Access to services may be discontinued.
14. Force Majeure
The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including:
Natural disasters
Internet outages
Government actions
Cyberattacks
Power failures
Third-party service disruptions
15. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Singapore.
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Singapore courts.
16. Changes to These Terms
The Company reserves the right to modify these Terms and Conditions at any time.
Updated versions will be published on our website and become effective upon posting.
The Company strictly prohibits the creation, purchase, posting, solicitation, or publication of fake, misleading, or incentivized reviews that violate the policies of Google or any other review platform. The Client acknowledges that all reviews obtained through the Company's services must originate from genuine customer experiences. Any request to engage in prohibited review practices may result in immediate termination of services without refund.
